Private Company misplaced share certificates

Hope someone can help. Private company formed in 2003.
Two shareholders and no share transfers have occurred.
I have located one original share certificate but one I cannot find.
The directors have changed since incorporation.
Can I do up a replacement certificate now, date it as current and get current directors/secretary to sign the certificate and is there any other paperwork necessary. Thanks.
 
No you can't just do that. You have to jump through a couple of hoops first to get the original certificate cancelled.



Do you need the share certificates for a reason?
 
Thanks for replies. Just tidying up old registers and some original certs are missing. So if a letter of indemnity is not required what exactly must I do to replace them ?
 
There are a few companies out there who specialise in company secretarial work. They would know what needs to be done.

But unless you are selling the company or the shares, there is no need to replace them. The originals might show up. If you replace them and don't need them, you might just lose them again.

Get them reconstituted only when you need them.
