Power of Attorney for Company Director

Kate10, I don't think OP needs a contract drawn up. I think OP needs to understand the role of a director, and the usefulness and relevance of minuted board decisions.

I think you underestimate the breath of the average accountant's knowledge of company law.
 
Doubt it Padraig but we might have to agree to disagree on this one!! I have a number of clients who have ongoing requirements in this area and I work with their accountants on a regular basis. One of the accountants in particular is really excellent, but the breakdown of expertise is still fairly distinct.
 
Would you be able to recommend a solicitor in this area Kate10? I spoke to a solicitor that I have used for a couple of things before, but they were a little confused by the whole thing. They made a lot of the same points that were made in this thread, which is absolutely fine, but I wouldn't mind having a chat with a solicitor who specialises in this area of company law.

My accountant recommended legal advice too.
 
In Dublin you have your pick really - all the top 5 have departments that specialise in the area, but you would probably be better off with a small or medium sized practice that might give you a decent fee. When I was a trainee in Dublin a good practice for your needs would have been O'Donnell Sweeney (now Eversheds O'Donnell Sweeney) or Mason Hayes Curran. They are both bigger and might be a bit expensive for what you are looking for ... I'll ask a friend and pm you tomorrow.
