Which Management company owes?

Hope this is the right thread- the scenario is as follows:
Grounds co given contract (no term on contract) for services from Management company A, worked and completed the work invoicing monthly- first 5 months paid no problem and then Management company seemed to fall behind on payment, but kept telling grounds company they will be paid.
After the grounds company had been there 12 months (and still owed for 7 mths) suddenly a new company on site- no notice given etc.

The management company has now been changed (company B) and while company A has told grounds company that company B will pay them - theyhave now been told that they need to chase A?

You are not being clear about the parties. It is quite common for people not to grasp the difference between a Management Company and a Management agent, employed by the Management company.

It seems there are ( likely) 4 parties here.

1. The Management company ( not the agent). That will be Complex Management Company Limited. This does not change.

2. Grounds company - they provide a service to either the Management company ( above) or a Management Agent - below

3. A management agent ( Agent 1) employed by the Management company to provide services to the complex.

4. Who appear to have been removed and replaced by a new management agent ( Agent 2) employed by the Management company to provide services to the complex.

So who was the Grounds company employed by? The management agent (Agent1) or the Management company? Who did the Grounds company invoice?

Agent 1 acted for Complex Management Company Limited and, unless Agent 1 was acting outside its remit, Complex Management Company Limited could be liable for debts incurred.
