Volountary Redundancy offered : company is selling its book of clients in a "merger"

hi,

A nr of peoplee in my office have been offered volountary redundancy.

The letter states that this is a result of a merger with *******

Now we have been told in a meeting with the new owners that this was not a merger but that they were "buying the book" from my current employer.

Does anybody who is savy with these matters know :

1) what happens if those offered refuse the vol redundancy?
2) Is there an effect of the staffs rights if it was a erger / acquisition rather than the new owners simply buying the client book?

Any info would be appreciated as we cannot get a straight answer so far from researching over the net.
