Transfer of Undertakings legislation: where a business sells its book of clients

If a business sells its book of clients to another business is this governed under Transfer of Undertakings Legislation?

The reason I ask is that under the appropriate page in the DETE website the phrase "A transfer of undertakings occurs when a business or part of a business is taken over by another employer as a result of a legal merger or transfer" is used.

Does anybody know if buying the book comes under this definition as Im not so sure if such a sale costitutes a legal merger or transfer?
