Transfer of Undertaking:new co taking over business,we are being given our p45, BoS?

Hi.
My employer has informed his staff ( of 15) that a new company will be taking over his business from next week on. The employer maintains that no break of service will happen. But, we are still being given our P45's.
Is this not breaking one's service and constitute a redundancy ??
