IT Contractor doing some private work - What contracts should I get in place

I know all my work is essentially private, but until now, I worked on 3/6 months contracts via agencies.
But myself and a colleague have bid for a small private job to be done over the next month via my LTD company.
Now that my bid has been accepted, what are the agreements I should get in place?
It is a small development project, I will be the main contact, my colleague will work for me and invoice me directly, so the contract is between me and the client.
I have details of what deliverables I will provide over the agreed period.

Is it a Statement Of Work next?
Or a Contract Statement of Work?
What is the difference?

Can anybody recommend a good template?
 
Write a letter of engagement.

Presumably you know the guy -

- My understanding of your current situation
[ we discussed such and such, you wanted .. if you got x..]
- Objectives and deliverables
- Scope and approach
- Timing and Fees

If they sign it so much the better - but its better than having an oral agreement - though legally an oral agreement is fine.

Until there is a dispute - you said - he said etc
 
I know him.. but on a professional level.
Business is business.
But I want to show that I know what I am doing and not provide the wrong contracts etc.
