Issuing shares in new company

If somebody has establsihed a new company, and is taking in some equity partners in the business, what is the procedure for issuing new share certificates in the business ?

Presumably there is a form to be submitted to the Companies Registration Office ? Re the actual share certificates, where does one get these, do they have to be of a particular type/standard ?

Any advice much appreciated.

Form B5 is filed with CRO showing new issued shares. Its a bit of a basic one, but your M&A must allow for the issueing of new shares... i've seen it before that a company has an Authorised Capital of €100 and an existing issued capital of €100 meaning they cannot issue any new shares... In this case an ordinary/special resolution plus B4 plus amended m&a must be filed increasing the authorised share capital.

You should not be issuing shares or raising capital without speaking to an accountant and a solicitor.

Either of these will be able to do the company secretarial work also.
