Do I need to pay taxes if I buy shares of my company

Hello all,

I am managing a small business Company with five shareholders. One of the shareholders is interesting in selling their shares. He ows 49% of the Company shares. The other shareholders are not interesting in buying, so I got the opportunity to consider to acquire this shares.

My questions are:
Will I have any personal taxes if I acquire this shares?
What will be the taxation percentage that will apply if one year I collect distributions from the Company? Will it be related to my personal taxation level?
Do we need to hire an attorney for the transfer process or can this be done simple by transfering the shares title after paying for the shares? We are trying to avoid paying high attorney fees for this process, so any advice will be appreciated.
