Change of directors

Hi there,

Apologies if there's a thread about this already, I just couldn't find one that explicitly answered my question.

If a new director is appointed at an AGM and the B10 isn't filed within the 14 day deadline, is the appointment void and directors will need to be reappointed at an EGM? And that any previous directors who resigned are still appointed? I thought it was simply a case of a late filing fee due to a badly organised board but that the appointments, in and out, still stood.

I would check with the CRO. How far over are you? With OMC's they are deemed to be non profit organisations and can get some leeway with regards to late submissions.

Really?, how nice for them as they are no different from normal companies.

Late fees only apply to B1's not B10's in any case.
