Issue of new shares - late filing of the resolution

Hi

I increased the Authorised capital of the company and issued new shares to a new shareholder in September last year. However I've just realised I forgot to file the CRO forms G1, B4, and B5. The CRO says they should be filed within 14 days. I've already given the new shareholder the share certificate.

Am I in bother with CRO. Will they accept the late submission?
 
Yes, the CRO will accept the forms even though they are late. There is no late filing penalty either. A few questions though: a company normally has lots of available unissued share capital available for issue to new shareholders - unless very little authorised capital was created from teh start, or unless there is a lot of issued capital already. Are you sure you needed to increase the authorised share capital? If so, you will also need a new/amended Mem & Arts with the new authorised share capital disclosed, to accompany the G1 and B4.
 
Thanks Oopsbuddy......the memo and arts had to be amended as the new shares were B shares for BES investment purposes.
